Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the services provided by Astucia ("we," "us," or "our"), including AI chatbots, AI receptionists, SEO & AEO, web design, review automation, and related services (collectively, the "Services"). By signing up for, accessing, or using our Services, you ("Customer," "you," or "your") agree to be bound by these Terms.
1. Services Overview
Astucia provides AI-powered customer communication and digital marketing services for businesses, including but not limited to:
- AI Chatbot: An AI-powered chatbot deployed on your website or messaging platforms to answer customer inquiries, capture leads, and provide business-trained responses.
- AI Receptionist: An AI-powered phone answering service that handles inbound calls, routes calls, takes messages, and provides missed-call text back.
- SEO & AEO Services: Search engine optimization and Answer Engine Optimization to improve your visibility on Google and AI-powered search engines.
- AI Web Design: Website design and development services.
- Review Automation: Automated review generation and reputation management.
The specific Services provided to you will be outlined in your service agreement or order form.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. By using our Services, you represent and warrant that you meet these requirements.
3. AI Limitations and Accuracy
You acknowledge and agree that:
- Our AI chatbots and AI receptionists use artificial intelligence and natural language processing to generate responses. While we strive for accuracy, AI-generated responses may occasionally be incorrect, incomplete, or inappropriate.
- AI Services are not a substitute for professional advice (legal, medical, financial, or otherwise).
- You are responsible for reviewing and approving the training content, business information, and response guidelines provided to configure your AI chatbot and/or AI receptionist.
- We are not liable for any decisions made or actions taken based on AI-generated responses.
- Call recordings and transcripts generated by the AI receptionist may not be 100% accurate.
4. Compliance Responsibilities
You are responsible for:
- Ensuring your use of our Services complies with all applicable laws and regulations, including data protection, consumer protection, telemarketing, and call recording laws.
- Providing appropriate disclosures to your customers and website visitors about the use of AI chatbots and/or AI receptionists.
- Obtaining any required consents for call recording, data collection, or AI interactions as required by applicable law (e.g., two-party consent states for call recording).
- Ensuring that the information and training content you provide to us for your AI chatbot or AI receptionist is accurate, lawful, and does not violate any third-party rights.
5. Acceptable Use
You agree not to use our Services to:
- Engage in any unlawful, fraudulent, or deceptive activities.
- Distribute harmful, abusive, harassing, or objectionable content.
- Attempt to reverse-engineer, decompile, or otherwise access the underlying AI models or proprietary technology.
- Interfere with or disrupt the integrity or performance of our Services.
- Use our AI receptionist for robocalling, spam calling, or any form of unsolicited outbound calling.
- Misrepresent the nature of the AI (e.g., claiming the chatbot or AI receptionist is a human when required by law to disclose otherwise).
6. Third-Party Platforms
Our Services may integrate with or rely on third-party platforms (e.g., messaging apps, CRM systems, scheduling tools, telephony providers, payment processors). We are not responsible for the availability, accuracy, or policies of third-party platforms. Your use of third-party platforms is subject to their respective terms and conditions.
7. Fees and Billing
- Fees for Services are as set forth in your service agreement or order form.
- Services are billed on a monthly subscription basis unless otherwise agreed in writing.
- Payments are due at the beginning of each billing cycle.
- All fees are non-refundable except as expressly stated in these Terms.
- We reserve the right to modify pricing with at least 30 days' prior written notice. Continued use of Services after a price change constitutes acceptance.
- Late payments may result in service suspension and/or late fees as outlined in your service agreement.
8. Cancellation and Refunds
A. Month-to-Month Services
You may cancel month-to-month Services at any time with 30 days' written notice. Cancellation will take effect at the end of the current billing cycle. No refunds will be provided for partial months.
B. Setup Fees
Setup fees, onboarding fees, and one-time configuration charges are non-refundable once work has commenced.
C. 6-Month and 12-Month Commitments
If you have agreed to a 6-month or 12-month commitment period, early cancellation will result in an early termination fee equal to the remaining balance of the commitment period. This fee is due immediately upon cancellation.
D. Chargebacks
If you initiate a chargeback or payment dispute for legitimate charges, we reserve the right to immediately suspend your Services and pursue collection of the outstanding amount plus any chargeback fees incurred.
9. Support and Change Requests
We provide ongoing support and maintenance for active Services. Minor adjustments and updates to your AI chatbot or AI receptionist configuration are included. Significant changes, custom development, or major reconfigurations may incur additional fees. Support is available via email at support@astucia.io.
10. Intellectual Property
- All technology, software, AI models, designs, branding, and content created by Astucia remain our intellectual property.
- You retain ownership of your business data, content, and training materials provided to us.
- You grant us a non-exclusive, royalty-free license to use your content as necessary to provide the Services.
- For web design Services, ownership of the completed website transfers to you upon full payment, excluding any third-party assets licensed separately.
- You may not resell, sublicense, or redistribute our AI technology or Services without our prior written consent.
11. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the engagement. This includes, but is not limited to, business strategies, customer data, pricing, technical configurations, and AI training content. Confidentiality obligations survive termination of these Terms.
12. Privacy
Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you acknowledge that you have read and agree to our Privacy Policy.
13. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM THE USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LEAD GENERATION, CALL HANDLING ACCURACY, SEO RANKINGS, OR REVENUE INCREASES.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTUCIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO ASTUCIA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
You agree to indemnify, defend, and hold harmless Astucia, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any content or information you provide to us for use in your AI chatbot or AI receptionist; or (e) any claim by a third party related to your use of the Services.
16. Suspension and Termination
- We reserve the right to suspend or terminate your access to the Services immediately if you violate these Terms, engage in fraudulent or illegal activity, or fail to pay fees when due.
- Upon termination, your access to the Services will cease, and we may delete your data after a reasonable retention period (unless otherwise required by law or agreed upon).
- You may request a copy of your data within 30 days of termination by contacting support@astucia.io.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through our website. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Services and cancel your account.
18. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Cook County, Illinois. You consent to the personal jurisdiction of such courts.
